These Terms of Service (“Terms”) govern your use of the services provided by Crosspoint Formations Inc. (“Crosspoint,” “we,” “us,” or “our”). By engaging our services or making a payment, you agree to these Terms.
1. Who We Are
Crosspoint Formations Inc. is a private business-formation and consulting company. We are not a government agency, law firm, or licensed tax advisor, and we are not affiliated with, endorsed by, or acting on behalf of any government. We assist clients by preparing and submitting business-formation and tax-registration applications, and assisting with business-banking applications.
2. Our Services
We provide preparation and submission of company-formation filings, tax registrations, registered-office and registered-agent arrangements, and assistance preparing and supporting your business-banking applications with third-party financial institutions. The specific services included in your engagement are those described in your selected package or quote.
3. No Guarantee of Outcome
Our fees cover the preparation and submission of your applications, not any specific outcome. Approval of any company registration, tax number, license, or bank account is determined solely by the relevant government authority or financial institution, applying their own criteria. We do not and cannot guarantee approval, processing times, or any particular result.
4. Client Responsibilities
You agree to provide accurate, complete, and lawful information and documents. You are responsible for the legality of your business and for meeting your own ongoing tax, reporting, and compliance obligations. We are not responsible for delays or rejections caused by inaccurate information or by the requirements of third parties.
5. Fees & Payment
Our service fees, and any applicable government or third-party fees, are due as set out in your package or quote. Our prices are service fees only. Government and third-party charges, including incorporation and state filing fees, registered-agent fees and registered-office fees, are separate from and in addition to our service fees. They are charged at cost with no markup, and we confirm the exact amount with you before any filing is submitted. This applies to our Canada packages and our United States packages alike. Government fees are set by the relevant authority and can change without notice to us; where a fee changes between the date of your quote and the date of your filing, the amount payable is the fee in force on the filing date.
6. Refunds
Please see our Refund Policy, which forms part of these Terms.
7. Limitation of Liability
To the maximum extent permitted by law, Crosspoint’s total liability for any claim arising from our services is limited to the amount of the service fees you paid to us for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, or for the acts, decisions, or processing times of any government authority or third-party institution.
8. Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute shall be subject to the courts of Ontario.
